Information Security Policy, Terms of Use Agreement for “Initiate” Platform

By using www.initiateprosperity.org, and its related domains, Initiate software platform, social media channels, mobile application services, information, web postings, products and tools (collectively, “Website” or “Service(s)” or “Initiate”) you, the “User”, are agreeing to the following terms and principles. This Terms of Use Agreement (“Agreement”) is effective immediately for all Users of the Website and is by and between you, the User and Northern Great Lakes Initiatives Initiatives (“Northern Initiatives” “NI” or “we” or “us”). Please read the Terms of Use carefully before you start to use the Website. This version of the Terms of Use became effective June 2, 2023.

This Website is provided solely for the use of current and future customers or clients of Northern Economic Initiatives Corporation (NI) to provide you with information about our company, to use our services for educational purposes, and to enable you to contact us with any questions or comments that you may have related to the Content of this Website. Any other use of this Website is prohibited.

1. Mission
Northern Initiatives provides an effective, hands-on set of training videos, tools, and templates. Exclusively available to small businesses working with participating organizations.

Initiate is an online business resource with over 300 interactive tools, templates, videos, and guides. Our user-friendly platform benefits aspiring and existing small business owners. Initiate’s tools guide you through topics that will quickly advance your knowledge in the areas of Money, Marketing, and Management.

 

2. User Eligibility
Use of the Website is void where prohibited. Your use of the Website and Services constitutes your representation that: (1) all information you submitted in your registration is truthful and accurate; (2) that you will update your registration information when changes occur; (3) that you are at least 13 years of age; (4) that, if you are under the age of 18, you have the authorization of your legal guardian, and (5) that your use of the Website and Services does not violate any state, federal, or other law which applies in your jurisdiction.

3. Right to Access the Software and Services
NI provides on-line software (“Software”) that may be accessed by the User in connection with our Website and Services for authorized users. NI retains all right, title, and interest in and to the Software, including without limitation all computers, other hardware, and software incorporated into or used by the Software. This Agreement does not grant User any right to reproduce, modify, distribute, or publicly display or perform the software included in the system or any other right to the Software not specifically set forth herein. You shall not alter or change the Software in any manner.

Updates to the Software and Services. At our sole discretion, NI may offer additional Services, products, or update, modify or revise any current content and Services offered by the Software or Website, and this Terms of Use Agreement shall apply to any and all additional Services or products and any and all updated, modified or revised Services. NI reserves the right to cancel and cease offering any of the Services, products, and the Website. NI shall not be held liable for any updates, modifications, revisions, suspensions or discontinuance of the Website or any of our Services. Your continued use of the Website or Services provided, after such posting of any updates, changes, or modifications shall constitute your acceptance of such updates, changes or modifications.

Updates to the Terms of Use. We reserve the right, at our sole discretion, to change, modify, add, or remove portions of the Terms of Use, at any time. Amendments or changes to these Terms will not be effective until we post a revised Terms of Use on the Website. Unless explicitly stated otherwise, any new feature added to the Service, including but not limited to the release of new tools and resources, shall be subject to the Terms of Use.

It is your responsibility to check the Terms of Use periodically for changes. Your continued use of the Service following the posting of changes will mean that you accept and agree to the changes.
 

4. Accessing the Website and Obtaining the Appropriate Consents
To access the Website or some of the resources it offers you will be asked to provide certain registration details, personal information and payment card information. You agree that all information you provide to register with this Website, NI, its service providers, partners, or affiliates, including but not limited to through the use of any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information and the information you provide to NI while using the Website and Services consistent with our Privacy Policy (“Consent”).

If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

 

5. Consent for NI and its Service Providers to Process Information
NI uses third parties to assist us in operating our Website, conducting our business, or servicing you, so long as those parties agree to keep your information confidential. 
Those trusted third-party partners may:

  • Provide you and our company, and its affiliated companies with various services

  • Provide database maintenance and security

  • Help us manage transactions

  • Help us process and fulfill orders or requests

  • Create an account on such third-party site to provide various services to you


By using this Website, the User consents to NI sharing the User’s information with its service providers and their service providers. 

Disclosure in the Event of Merger, Sale, or Other Asset Transfers. If we are involved in a merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, purchase or sale of assets, or transition of service to another provider, then your Personal Information may be transferred as part of such a transaction, as permitted by law and/or contract. By providing your personal information to us, you consent to such a transfer.

 

6. User Contributions

The Website or its social media channels may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Website. All User Contributions must comply with the Content Standards set out in these Terms of Use.

 

Any User Contribution you post to the Website will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and our affiliates and service providers a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to exercise any and all copyright, trademark, publicity, and database rights you have in the content, in any media known now or in the future.

 

NI reserves the right to take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that the User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for NI. NI may also take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.

 

You represent and warrant that you own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers.

 

All of your User Contributions do and will comply with these Terms of Use.

 

7. Content Standards

The following Content Standards apply to any and all User Contributions and use of Interactive Services.  You are responsible for any and all User Contributions, including without limitation data, text, information, usernames, graphics, images, photographs, profiles, audio, video, items, and links which you post to the Website. Please use common sense when posting Content to the Website. Postings which may violate any state, federal, or other law which applies in your jurisdiction, whether civil or criminal, are strictly prohibited. Refrain from posting any Content which contains profanity or nudity. NI reserves the right to reject, refuse to post, or delete any Content for any reason, including, but not limited to, Content which, in the sole judgment of NI, violates this Agreement or which otherwise may be deemed offensive or rude. NI does not assume responsibility for monitoring user posted Content. However, if you believe you have identified a violation of this Agreement, please report the abuse to NI according to Section 20 of this Terms of Use.

 

8. Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Terms of Use.

  • Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website, including their ability to engage in real time activities through the Website.

  • Use any process to monitor or copy any of the material on the Website, or for any other purpose not expressly authorized in these Terms of Use, without NI’s prior written consent.

  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.

  • Otherwise attempt to interfere with the proper working of the Website.

 

9. NI Intellectual Property and Trademark Rights

The Website, its features, and functionality including but not limited to the software, displays of information (including text, audio, video, images) and the design, selection, and arrangement thereof are owned by NI and are protected by copyright and other intellectual property or proprietary rights laws.

 

All content posted by NI is protected by copyright laws and may not be reproduced, republished, distributed, transmitted, sold, displayed, broadcast or otherwise exploited in any commercial or for profit manner without the prior written consent of NI.

 

You are permitted to use the Website for your personal, and limited commercial uses as described in Section 1 of this Terms of Use. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website.

 

NI and related logos are subject to copyright and trademark protections. You must not use such marks without the prior written permission of NI.

 

10. Authors and Bloggers

As stated below, NI does not warrant any of the information provided on the Website. Please use common sense when reviewing articles and blogs posted by our staff or community members. You should not rely in any way on any information posted on the Website.

Your privacy is very important to NI. Please read NI’s Privacy Policy. NI Privacy Policy, as it may change from time to time, shall be considered a part of this Agreement.

13. Cancellation and Termination

Without limiting NI’s other remedies, we reserve the right to do any of the following, at any time, without notice to you(1) to modify, suspend or terminate operation of or access to the Website, or any portion of the Website for any reason or no reason at all; (2) to modify or change the Website, or any portion of the Website, and any applicable policies or Terms; and (3) to interrupt the operation of the Website, or any portion of the Service, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

 

14. Limitation of Liability and Claims

YOU AGREE THAT NI AND ITS PROVIDERS SHALL NOT BE LIABLE FOR ANY DAMAGE, LOSS, OR EXPENSE OF ANY KIND ARISING OUT OF OR RESULTING FROM YOUR POSSESSION OR USE OF THE MATERIALS, CONTENT, OR INFORMATION ON THIS WEBSITE REGARDLESS OF WHETHER SUCH LIABILITY IS BASED IN TORT, CONTRACT, OR OTHERWISE. 16. No Waiver

NI failure to enforce any provision of this Agreement does not waive future enforcement.

 

17. Disclaimer of Warranty

You expressly agree that use of this Website is at your sole risk. Neither NI, its affiliates, nor any of their officers, directors, employees, agents, third-party content providers, service providers, or licensors (collectively, “Providers”), or the like, warrant that this Website will be uninterrupted or error-free; nor do they make any warranty as to the results that may be obtained from the use of this Website, or as to the accuracy, completeness, reliability, security, or currency of the Content.  The Content may contain errors, omissions, inaccuracies, or outdated information. Further, NI does not warrant reliability of any content displayed or distributed through the Website.

19. Forum Selection

Any dispute arising under or in connection with the Agreement or related to any matter which is the subject of the Agreement shall be subject to the exclusive jurisdiction of the state and/or federal courts located in Kent County Michigan.
